Terms of Service

Welcome to Mejorika! These Terms of Service ("Terms") govern access to and use of the Mejorika platform and related services ("Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Service Overview

Mejorika provides an AI-powered platform for generating professional product photos and videos for e-commerce and marketplaces. The Services are delivered via web browser at mejorika.com.

3. User Accounts

To use certain features, Customer must create an Account and:

• Provide and keep accurate, up-to-date information
• Keep credentials confidential; you're responsible for all activity under your Account
• Notify Mejorika of unauthorised use

Mejorika may suspend Accounts that violate these Terms or applicable law.

4. Sparks, Pricing & Payments

Mejorika uses a credit-based system called "Sparks" for generation payments.

Purchasing Sparks

• Sparks can be purchased through the platform at prices listed on the Pricing Page
• All payments are processed securely through Stripe
• Prices are displayed in USD or EUR depending on your language preference

Spark Usage

• Each generation (photo, card, or video) costs a specified number of Sparks
• Spark costs are displayed before each generation
• Sparks are deducted at the time of generation

Refunds & Expiration

• Non-refundable: Purchased Sparks are non-refundable except as required by law
• No expiration: Unused Sparks do not expire
• Failed generations: If a generation fails due to a system error, Sparks will be automatically refunded to your account

Taxes/VAT: Prices are exclusive of taxes, which Customer must pay where applicable.

5. Free Sparks & Referrals

• New users receive free Sparks upon registration (amount subject to change)
• Referral bonuses: Both referrer and referred user receive bonus Sparks on the referred user's first purchase
• Mejorika reserves the right to modify or discontinue promotional offers at any time

6. Acceptable Use

Customer shall not:

• Violate laws or regulations
• Upload unlawful, offensive, or infringing Customer Content
• Generate content depicting real persons without their consent
• Generate illegal, harmful, explicit, or offensive content
• Attempt to reverse engineer, exploit, or abuse the Services
• Disrupt or attempt unauthorised access to systems
• Use the Services to train competing AI models

Mejorika may investigate and suspend Accounts for violations without refund of unused Sparks.

7. Data Processing & Privacy

Mejorika's data processing practices are described in our Privacy Policy. By using the Services, you agree to the collection and use of information as described therein.

8. AI Features & Generated Content

8.1 Nature of AI Generation

The Services use artificial intelligence to generate images and videos. Results may vary and are not guaranteed to meet specific expectations. AI-generated content may occasionally contain artifacts or unexpected elements.

8.2 Human Review

All Generated Content is provided for your review. You are responsible for reviewing and approving Generated Content before using it commercially.

9. Intellectual Property & Licences

9.1 Your Content

Customer retains all intellectual-property rights in Customer Content (uploaded product images).

9.2 Generated Content

Subject to these Terms, Customer is granted a worldwide, perpetual, royalty-free licence to use Generated Content for any commercial purpose, including but not limited to:

• E-commerce product listings
• Marketing and advertising
• Social media
• Print materials

9.3 Licence to Mejorika

Customer grants Mejorika a worldwide, non-exclusive licence to host, process, and transform Customer Content solely to provide the Services.

9.4 Feedback

Customer grants Mejorika a perpetual, royalty-free right to use feedback or suggestions without obligation or compensation.

10. Third-Party Services

Mejorika integrates with third-party AI providers to deliver generation features. While Mejorika makes commercially reasonable efforts to maintain integrations, we do not guarantee the availability, uptime, or performance of these external services. Downtime or errors attributable to third-party providers are not considered breaches of these Terms.

11. Disclaimers & Limitation of Liability

The Services are provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law:

• Mejorika disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
• Neither party is liable for indirect, incidental, or consequential damages
• Mejorika's aggregate liability under these Terms shall not exceed the amount paid by Customer in the 12 months preceding the claim, or €100, whichever is greater

Some jurisdictions do not allow certain warranty disclaimers or liability limitations. In such cases, these Terms only limit our responsibilities to the maximum extent permissible in your jurisdiction.

12. Indemnification

You agree to indemnify and hold harmless Mejorika and its affiliates from any costs, losses, liabilities, and expenses (including attorneys' fees) arising from third-party claims related to your use of the Services or violation of these Terms.

13. Termination

• By Customer: You may delete your Account at any time through your profile settings
• By Mejorika: Mejorika may terminate or suspend your Account for material breach, violation of these Terms, or illegal activity
• Effect: Upon termination, unused Sparks are forfeited and access to Generated Content may be lost
• Data Deletion: Account data will be deleted according to our Privacy Policy

14. Force Majeure

Neither party is liable for delays or failure to perform due to causes beyond its reasonable control, including natural disasters, internet outages, governmental actions, or third-party service disruptions.

15. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

16. Governing Law & Disputes

These Terms are governed by the laws of Spain. Any disputes shall be resolved through negotiation first, then mediation, and finally through the courts of Spain. EU/EEA users may also contact their local consumer protection authority.

17. Changes to Terms

Mejorika may update these Terms. We will post changes at least 14 days before they take effect. Continued use of the Services after changes constitutes acceptance of the updated Terms.
